Shareholder Registry — annual RF-1086 to Skatteetaten

Every Norwegian limited company (AS) must file the Shareholder Registry report (RF-1086) with the Tax Administration by 31 January each year. The report covers shareholders, ownership stakes, dividends, share trades and value changes. 4b2b maintains the shareholder registry, tracks transactions, and generates the finished RF-1086 for submission via Altinn.

Problem

You complete a capital increase mid-year — how do you report it in RF-1086?

Solution

Each transaction (issuance, merger, demerger, trade) is recorded with date and share class. RF-1086 reports opening balance + transactions + closing balance per shareholder separately.

Problem

You have foreign shareholders (in UK and Germany) — are separate fields required?

Solution

For foreign shareholders the TIN (Tax Identification Number) + country code is reported. The platform validates the format per country (HMRC UTR, deutsche Steuernummer, etc.).

You pay dividends to shareholders — tax rules depend on stake and entity form.

Solution

The platform calculates withholding tax (15-25 % depending on tax treaty + EU directive) per shareholder and includes it in RF-1086 at the right rate per recipient.

Problem

There is an error in last year's shareholder report — can you correct it?

Solution

Correction RF-1086 is submitted via Altinn with the "Replaces previously submitted" flag. The Tax Administration updates the tax settlement automatically.
