The incorporation certificate arrives, but invoicing and records are still on spreadsheets.

A private limited company in Pakistan is incorporated with the Securities and Exchange Commission of Pakistan (SECP) under the Companies Act 2017. It becomes a separate legal person with limited shareholder liability. The certificate of incorporation is only step one: NTN, sales tax, a bank account and a clean invoicing routine follow.
A private limited company is a legal person registered under the Companies Act 2017 with the Securities and Exchange Commission of Pakistan. It can own property, sign contracts and be sued in its own name, and a shareholder's liability is generally limited to the unpaid amount on the shares held. That separation is the main reason founders leave sole proprietorship once they hire staff, sign larger contracts or expect an investor to ask for shares.
The Act also recognises a single-member company, so a lone founder does not have to find a second shareholder just to obtain limited liability. A private company cannot invite the public to subscribe for its shares and it restricts the transfer of shares, which suits family businesses, start-ups and joint ventures between a handful of partners.
Incorporation is filed online through SECP's electronic services. Before filing, the founders agree the proposed company name and check it against the names already on the register, the objects of the company, the registered office address in Pakistan, the first directors and the shareholding. The constitution is made of a memorandum and articles of association, and the articles are where you set rules such as how directors are appointed and how shares may be transferred.
Each director and subscriber needs identity documents, normally the CNIC for Pakistani citizens or a passport for foreigners, and the company needs a lawful registered office with an address where official letters can be received. Foreign founders should ask their adviser about additional requirements for foreign directors and for foreign shareholders, because these are set by SECP and the State Bank rather than by the company.
A practical tip from experience: write the objects clause broadly enough to cover the services you plan to add in two years, because changing the objects later means another filing. Keep the draft memorandum and articles, the signed consent forms and the final certificate together in one folder from the first day.
The Act does not impose a general minimum paid-up capital on private companies, so the amount of share capital is a commercial decision. Banks, landlords and larger customers often judge a company by its capital and by its financial statements, so a token amount can raise questions even where the law allows it. Share capital that is subscribed but unpaid remains a liability of the shareholder to the company.
After incorporation the company has recurring duties: holding an annual general meeting, appointing an auditor, keeping statutory registers and filing annual financial statements and an annual return with SECP. SECP also requires companies to record who ultimately owns and controls them, so the register of members and the beneficial ownership information need to stay current whenever shares move.
Directors owe duties to the company, and personal liability can arise for fraud, for breach of those duties or for ignoring filing deadlines. Confirm the exact deadlines and penalties with SECP or a company secretary, because they are set by the Act and by SECP notifications that change.
Registration through SECP's online system is generally linked to FBR, so a new company is normally also given a National Tax Number. Verify that the number appears on the registration record, then register for sales tax with FBR if you supply taxable goods, or with the provincial revenue authority if you supply taxable services. Those registrations are separate steps and none of them happens automatically because the company exists.
This is the moment to put the commercial identity of the company into one place. In 4invoices you enter the legal name exactly as it appears on the certificate, the registered address, your NTN and your bank details, and every PDF invoice then carries the same details. If an invoice and the certificate disagree on the company name, a buyer's accounts department or a bank may ask for a corrected document.
Pakistan also has a limited liability partnership regime under the Limited Liability Partnership Act 2017, which is supervised by SECP and gives partners limited liability without the share structure of a company. It can suit professional practices such as accountants, architects and consultants. A private limited company remains the more familiar vehicle for banks, investors and large customers, and it is the one most software houses and traders end up choosing.
Compare the options on four questions: who will be liable if a contract fails, whether outside investors are likely, how many people will own the business, and how much compliance you are willing to carry. A company is the heaviest on filings but the lightest on personal risk. Ask an adviser to compare the current tax treatment of each form, because rates and incentives change with every Finance Act.
Three mistakes recur. First, choosing a company name close to an existing business, which delays or defeats the application. Second, giving a registered address where nobody collects mail, so notices from SECP or FBR go unread. Third, treating the company bank account as optional: mixing personal and company money undermines the very limited liability that incorporation was meant to create.
Founders also forget that directors' details, the registered office and the shareholding are all filed information. When a director resigns or shares are sold, the change must be reported to SECP within the time the law allows, and an outdated register is the commonest finding when a bank or investor reviews a young company.
A worked example makes the point. Two founders in Lahore incorporate a software company, each holding half the shares, and agree to a shareholder agreement and a director's service contract. If these are stored in 4mycontracts with approval and electronic signature, the signed version, the date of signature and the people who approved it sit next to each other, so a bank, an investor or SECP query is answered from one place.
The same discipline applies to customers. Keeping the first leads and signed customers in 4softcrm means the contact details, quotation history and agreed terms stay with the company when a salesperson leaves. None of these modules files anything with SECP or FBR; they keep the evidence your accountant and company secretary draw on.

Timing and fees depend on the company type, the authorised capital and SECP's current fee schedule, and both change over time. Complete applications filed online are normally processed faster than ones needing corrections. Check the current schedule on SECP's website or ask your adviser for a written quote. 4b2b does not file the application, collect SECP fees or speed up the process, so budget the time with your adviser instead.
Yes. The Companies Act 2017 recognises a single-member company, so one shareholder can hold all the shares and act as director. Some structures still need more than one director or a nominee, depending on the choices made at filing. Ask your adviser which setup suits you, how a second owner can be added later and what changes in the articles when that happens.
The Act does not set a general minimum paid-up capital for private companies. The amount is a commercial choice, but banks and larger customers may judge you by it, and specific regulated activities can carry their own capital rules. Confirm with SECP or the regulator of your sector before deciding on the amount, and write the figure into the shareholders' agreement so that nobody disputes it later.
Companies registered through SECP's online system are generally linked to FBR and given an NTN, but you should confirm that it was issued and that your profile with FBR is complete. Sales tax registration is a different step and is not automatic. Your adviser can check both on FBR's portal and tell you which of the two your customers will ask to see first.
No. Incorporation is filed with SECP directly or by your adviser or company secretary. 4b2b provides the invoicing, contract and CRM tools you use once the company exists, and none of them submits anything to SECP or FBR. Your adviser or company secretary keeps responsibility for every statutory filing and deadline.
This page is informational. Confirm requirements with FBR, the provincial authority or SECP; 4b2b tools cover general invoicing and records only.
