Operating in a special economic zone

Special economic zones in Pakistan are created under the Special Economic Zones Act 2012 to attract investment in manufacturing, logistics and technology. Zone developers and zone enterprises receive incentives set by law and notification, and they must keep zone activity clearly separate from sales elsewhere in the country.

What an SEZ is and who runs it

The Special Economic Zones Act 2012 provides a framework for zones developed by the public or private sector, with the Board of Investment as the lead federal agency and provincial governments and zone authorities sharing responsibility. Several zones have been connected with China-Pakistan Economic Corridor projects, among them Rashakai in Khyber Pakhtunkhwa, Dhabeji in Sindh, Allama Iqbal Industrial City near Faisalabad and Bostan in Balochistan.

The status of each zone, its readiness and the available plots change over time, so check the current position with the zone authority before planning an investment. Marketing material is not a substitute for the notification that declares the zone.

For a small operator the practical question is whether to lease space in a zone, in an ordinary industrial estate or in a rented building. Compare lead times for approvals, utility reliability, access to labour and the real value of the incentives after conditions, instead of the headline benefit alone.

Developers, enterprises and incentives

The Act distinguishes between zone developers, who build and operate the infrastructure, and zone enterprises, which carry out business within the zone. Both can receive incentives such as income tax exemptions for a defined period and relief on customs duty and sales tax for imports of capital goods, subject to the Act, the rules and notifications.

Incentives come with conditions: approvals, minimum investment, reporting and sometimes limits on sales into the domestic market. Do not rely on a summary of incentives; ask the Board of Investment or the zone authority for the current notification and have your adviser assess how it interacts with your tax position.

A simple comparison helps in the business case. Estimate the profit without the incentive, the profit with it and the cost of compliance: reporting, audits, lease terms and the restrictions on domestic sales. If the difference is small, the simpler location may be the better choice.

Zone and non-zone activity under one roof

Many operators have both a zone enterprise and a company outside the zone, or they sell some output to the domestic market. The tax and customs treatment of a sale from a zone to a buyer elsewhere in Pakistan can differ from an export sale, so the paperwork has to show which is which.

A practical rule is to treat the zone entity as a separate business in every record: its own customers, contracts, invoice series, bank accounts and archive folders. A logistics operator in a zone that also runs a warehouse in Karachi should not issue invoices for both from the same series.

Staff and shared services need a rule. If employees work for both the zone entity and the outside company, document how their time and costs are allocated, because allocations between an exempt and a taxable entity attract attention from tax authorities.

Authority approvals and reporting

Zone enterprises usually report to the zone authority on production, employment and investment, and customs and tax authorities may inspect records connected with duty-free imports. Prepare for that by keeping import documents, asset registers, supplier contracts, employment records and sales invoices indexed by year and by project.

Approvals, permits and lease agreements should sit in one searchable place with their expiry dates. Missing a renewal date for a permit or lease in a zone can interrupt operations more than a delayed invoice.

Ask the zone authority for the reporting calendar when you sign the lease and add each date to a shared calendar.

A garment factory in a zone, with leases and permits

A garment manufacturer sets up a zone enterprise to export knitwear and keeps a separate company for local sales. The zone company imports machinery duty-free under its approval, buys fabric from local registered suppliers and ships to European buyers. The local company buys finished goods from other factories for domestic retail.

Records to keep for the zone company: the approval and lease, the import documents and asset register for the machinery, supplier invoices, export invoices and shipping papers, bank advices for foreign exchange, staff records and the reports sent to the zone authority. Records for the local company are kept completely apart.

If the factory later sells surplus fabric to the local company, that transaction needs its own contract, invoice and customs or tax treatment confirmed by the adviser, and it must appear in both sets of books in the same amount. Ad hoc transfers without documents are what auditors find first.

A zone lease normally sets the rent, the term, development obligations and the grounds for termination, and permits for construction, environmental clearance and operation may each carry their own expiry. Record the dates of each in a single register, with the responsible person and the authority that issues the renewal.

Set reminders ninety, sixty and thirty days ahead. A renewal that is late by a few weeks can stop production or invalidate an incentive, and the cost of the lapse dwarfs the cost of the reminder.

Using 4b2b for zone records

In 4invoices, issue zone-activity invoices from a separate company profile and keep the PDF archive apart. In 4softcrm, record customers and suppliers by activity and keep notes of agreed terms. In 4mycontracts, hold lease agreements, supplier contracts and approvals with their status and renewal dates.

The modules do not connect to the Board of Investment, customs or FBR and do not determine tax treatment. They organise the evidence your advisers and the zone authority will ask for.

01
Friction

Zone and non-zone sales are mixed in the same invoices.

Fix

Keep clear customer and contract records in 4softcrm and 4mycontracts and invoice zone activity separately in 4invoices.

02
Friction

Documents for the zone authority are gathered at the last minute.

Fix

Keep approvals and agreements indexed in 4mycontracts.

03
Friction

Zone and non-zone sales end up on the same invoice series.

Fix

Create a separate company profile for the zone entity in 4invoices and keep its archive apart.

What is a special economic zone in Pakistan?

A zone created under the Special Economic Zones Act 2012 to attract investment in manufacturing, logistics and technology, with incentives for developers and enterprises set by law and notification. Examples linked with CPEC include Rashakai, Dhabeji, Allama Iqbal Industrial City and Bostan. Check the status of each zone with its authority. Verify the zone's notification before committing capital.

Which incentives do zone enterprises receive?

Typically income tax exemptions for a defined period and relief on customs duty and sales tax for capital goods imports, subject to conditions in the Act, rules and notifications. Terms change and depend on the approval you hold, so ask the Board of Investment or the zone authority and have your adviser review them. Get the conditions in writing from the authority, not from a brochure.

Can a zone enterprise sell in the domestic market?

Sales from a zone to buyers elsewhere in Pakistan may be allowed within limits and are treated differently for customs and tax purposes than exports. Confirm the rules for your approval before planning domestic sales, and issue such invoices in a separate series. Document every transfer between a zone company and an outside company.

Why keep zone records separate?

Incentives apply to the zone entity's activity, and authorities may check that duty-free goods and exempt income relate only to it. Separate invoice series, bank accounts, contracts and folders make that visible and defendable. Mixed records create audit risk for the entire group. Separation also makes it easier to prove your compliance quickly.

Does 4b2b connect with the Board of Investment or customs?

No. 4b2b modules do not connect to the Board of Investment, zone authorities, customs or FBR. They help you issue invoices, keep contracts and customer records and archive approvals, which you use when authorities and advisers ask how zone and non-zone activity were kept apart. Keep your adviser's written conclusions with the approvals.
