Contracts with foreign clients and vendors

A contract with a foreign client should fix scope, price and currency, payment dates, intellectual property ownership, confidentiality, governing law and the way disputes are resolved. Indian law has specific rules on some of these, such as written assignment of copyright. 4mycontracts drafts, routes for approval and collects electronic signatures; legal advice is yours to obtain.

Why written terms matter more across borders

When a dispute arises with a client in the next street, you can meet and settle. With a client in another country, the only common ground is the document. Courts are distant, laws differ and enforcing a claim takes time, so the contract must answer in advance the questions a dispute will raise: what was promised, what is the price, who owns the work and who decides.

Indian SMEs often sign the buyer's standard form to keep the relationship moving. That is reasonable for a small order, but read at least the clauses on payment, intellectual property, liability and termination, because those are the clauses that move money.

A useful habit is a one-page summary at the front of each signed contract: parties, start date, term, fee, payment dates, notice period and renewal. Anyone in finance or sales can then answer a question without reading twenty pages.

Core clauses to settle

Scope and acceptance: the deliverables, the criteria for acceptance and what happens if the client does not respond. Price and currency: the amount, the currency, the invoicing dates and who bears bank charges. Confidentiality: what is protected, for how long and what exceptions apply. Liability: a cap on damages, usually linked to the fees paid, and exclusion of indirect loss.

Add termination rights, notice periods and what happens to work in progress. A short schedule for each project, attached to a master services agreement, lets you repeat the framework without renegotiating it for each job.

Non-disclosure agreements deserve care. Check whether the definition of confidential information is limited to information marked as such, how long the obligation lasts, and whether it allows disclosure to your employees and advisers who need to know. A one-sided NDA that binds only you is common in buyers' standard forms.

Intellectual property: a point of Indian law

Under the Copyright Act, 1957, an assignment of copyright must be in writing and signed by the assignor. If the document does not state the duration, the assignment is taken to last five years, and if it does not state the territory, it is taken to cover India only. A foreign client who thinks they bought worldwide, permanent rights may have bought much less.

So state clearly who owns the deliverables, from what moment, for which territory and for how long, and whether you keep rights in tools and pre-existing material. Work done by employees in the course of employment generally belongs to the employer, but work by freelancers needs a written assignment from them to you first.

If you hire foreign vendors, the same logic applies in reverse. Payments to a non-resident may carry withholding tax and require specific bank formalities, so ask your accountant before agreeing the price, and write the tax allocation into the contract.

A worked case: a Delhi design studio delivers a brand identity to a client in Germany under a one-page agreement that says only that the client owns the work after payment. Two years later the client launches in the United States and the studio argues the assignment never covered that territory, because nothing in the document says so. A sentence stating worldwide territory and perpetual duration would have ended the argument before it began.

Governing law, courts and arbitration

The parties choose the law that governs the contract and the forum for disputes. Many cross-border commercial agreements choose arbitration, because an arbitral award is generally easier to enforce internationally than a court judgment. India is a party to the New York Convention, and Indian courts enforce foreign awards under the Arbitration and Conciliation Act, 1996, subject to its conditions.

The clause should name the rules, the seat, the language and the number of arbitrators. Take legal advice, because a poorly chosen seat can make a simple claim costly and the choice affects which courts supervise the process.

Data protection is a further topic. If you process personal data of clients in the European Union, their law may apply to you through the contract, and India's Digital Personal Data Protection Act, 2023 also sets duties. State in the contract who is responsible for what and where the data is kept.

Signing, stamping and storing

Electronic signatures are recognised under the Information Technology Act, 2000, and foreign counterparties are usually comfortable with them. Stamp duty on instruments is a state subject in India, and an agreement executed in India may need to be stamped; an unstamped document can be difficult to rely on in an Indian court until the duty is paid. Ask your lawyer which of your agreements require stamping.

In 4mycontracts, a draft goes to the reviewer, the version history is kept and the electronic signature is collected from both parties. The signed agreement is stored in a searchable archive with the client's name, so the finance team can find payment terms and the sales team can find the renewal date.

Keeping control after signature

A signed contract is a promise to be kept, so note the dates that matter: delivery milestones, payment due dates, notice deadlines and expiry. Review the list monthly. A missed auto-renewal date can bind you for another year at old prices.

4mycontracts does not give legal advice or review clauses for you, and the ecosystem does not connect to any court or registry. Its value is that every agreement, change and approval is in one place and every person involved works from the same version.

Review the archive twice a year. Contracts that expired, supplier terms that changed and clients who no longer buy should be marked closed, so the live list contains only agreements that bind you today.

Who owns the work I deliver to a foreign client?

It depends on the contract. Under Indian copyright law an assignment must be in writing, and if the duration is not stated it is taken as five years, while a missing territory means India only. State ownership, territory and duration explicitly, and get written assignments from any freelancers who worked on the deliverable.

Should I choose Indian courts or arbitration?

Many cross-border contracts use arbitration because awards are generally easier to enforce abroad than court judgments. Indian courts enforce foreign awards under the Arbitration and Conciliation Act, 1996. The right choice depends on the client, the amount and the seat. Ask a lawyer to draft the clause. For larger values, a short opinion from an international arbitration lawyer is worth the fee.

Is an electronically signed contract valid in India?

Electronic signatures and records are recognised under the Information Technology Act, 2000, and many commercial agreements are concluded this way. Certain instruments may still need stamp duty or other formalities depending on the state. Check with your lawyer which of your agreements fall into that category. Keep a record of the stamp paid with the signed copy, so that the document is ready if you need to rely on it.

Can 4mycontracts review my contract for legal risk?

No. 4mycontracts is for drafting, approval workflows and electronic signature. It does not provide legal advice or analyse clauses. Have a qualified lawyer review important agreements, then use the app to route the final version for internal approval, collect signatures and store it with its history. Every approved version and the final signed copy stay together, with the history of who approved what.
